Terms and Conditions

1. Acceptance of Terms

By accessing and using ees-wi.org (the "Website" or "Service"), you agree to be bound by these Terms and Conditions (the "Agreement"). If you do not agree to any part of these terms, you may not use our Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes. We will notify you of material changes by posting the updated terms on our Website and updating the "Last Updated" date above.

2. User Accounts

2.1 Account Creation

To access certain features of our Service, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any breach of security.

3. Services Description

ees-wi.org provides services to it's customers. Our Services are provided on an "as is" and "as available" basis. We make no warranties or guarantees regarding the quality, accuracy, completeness, or timeliness of information provided through our Service. Services may be modified, suspended, or terminated at any time at our sole discretion.

4. Warranties Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • The SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

  • The SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE

  • ANY DEFECTS IN THE SERVICE WILL BE CORRECTED

  • THE SERVICE IS FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL CODE

  • RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM THE USE OF OUR SERVICE.

 

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EES-WI.ORG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IF APPLICABLE LAW DOES NOT PERMIT THE FULL EXCLUSION OR LIMITATION SET FORTH ABOVE, THE LIMITATIONS WILL BE APPLIED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

6. Refunds and Returns

6.1 Refund Policy

We offer refunds within thirty (30) days of purchase if you are not satisfied with our Service. To request a refund, you must contact our support team with your account information and reason for the refund request. Refunds will be processed within 5-7 business days.

6.2 Non-Refundable Services

Certain services or portions of services may be non-refundable. This includes but is not limited to: NON-REFUNDABLE ITEMS. We will clearly mark non-refundable services at the time of purchase.

6.3 Refund Limitations

We reserve the right to deny refunds if we determine that a refund request violates these Terms or is made in bad faith. If a customer repeatedly requests refunds or attempts to abuse our refund policy, we may restrict or terminate their account.

 

7. Intellectual Property Rights

7.1 Ownership of Service Content

All content on our Website and within our Service, including text, graphics, logos, images, audio clips, video clips, data compilations, and software (collectively, the "Service Content"), is the property of ees-wi.org or its content suppliers and is protected by international copyright and other intellectual property laws. You may not reproduce, distribute, transmit, display, or perform any Service Content without our prior written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service Content solely for your personal, non-commercial use. This license is revocable at any time if you violate these Terms. You may not download, copy, print, or otherwise reproduce Service Content except as expressly authorized.

7.3 Trademarks

All trademarks, service marks, logos, and trade names displayed on our Website are the property of ees-wi.org or their respective owners. You may not use, reproduce, or display any trademarks or logos without our prior written consent.

 

8. User-Generated Content

8.1 User Responsibility

If our Service allows you to upload, submit, post, or otherwise provide content (including text, images, videos, comments, feedback, or other materials) ("User Content"), you are solely responsible for that content and the consequences of posting it. You represent and warrant that you own or have the necessary rights to all User Content you submit and that it does not violate any laws or the rights of third parties.

8.2 Prohibited Content

You agree not to submit User Content that:

  • Is defamatory, obscene, offensive, or violates any law

  • Infringes on any copyright, patent, trademark, or other intellectual property right

  • Violates anyone's privacy or publicity rights

  • Contains malware, viruses, or code that harms our systems

  • Is spam, unsolicited advertising, or commercial solicitation

  • Promotes violence, hate, discrimination, or harassment

  • Is false, misleading, or intended to defraud

8.3 License to User Content

By submitting User Content, you grant ees-wi.org a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any format or medium. You acknowledge that this license is necessary for us to operate our Service and provide our Services to other users.

8.4 Moderation Rights

We have the right, but not the obligation, to monitor, review, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise inappropriate. We may remove User Content and suspend or terminate your account for violations of this policy.

 

9. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes:

  • Harassing, threatening, or abusing others

  • Accessing without authorization or exceeding authorized access

  • Attempting to bypass security measures or access restricted areas

  • Interfering with or disrupting the Service or servers/networks connected to the Service

  • Attempting to gain unauthorized access to user accounts or personal data

  • Collecting or tracking personal information of others without consent

  • Phishing, spoofing, or perpetrating identity theft

  • Violating any applicable laws or regulations

 

10. Termination of Services

10.1 Termination by User

You may terminate your account at any time by contacting us with a request to close your account. Upon termination, your access to the Service will be immediately revoked. Any data or content associated with your account may be deleted at our discretion.

10.2 Termination by ees-wi.org

We may terminate or suspend your account and access to the Service immediately, without notice or liability, for any reason or no reason, including but not limited to:

  • Violation of these Terms or any applicable laws

  • Non-payment of fees or charges

  • Abusive or threatening conduct toward our staff or other users

  • Unauthorized access or misuse of the Service

  • Providing false or fraudulent information

  • Business or operational reasons

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You remain liable for any outstanding fees or charges. Sections that by their nature are intended to survive termination, including but not limited to intellectual property rights, limitation of liability, and dispute resolution, shall survive any termination or expiration of these Terms.

11. Dispute Resolution and Arbitration

 

11.1 Informal Resolution

If you have a dispute with ees-wi.org, you agree to first attempt to resolve the matter informally by contacting us with a detailed description of your dispute. We will attempt to resolve the matter within thirty (30) days of receiving your notice.

11.2 Binding Arbitration

If informal resolution fails, you and ees-wi.org agree to submit the dispute to final and binding arbitration rather than litigation. The arbitration shall be conducted in accordance with the American Arbitration Association (AAA) rules in effect at the time of the dispute. The arbitration shall be conducted by a single neutral arbitrator and shall take place in Wisconsin. Each party shall bear its own attorneys' fees and costs, and the parties shall share the costs of the arbitrator equally.

11.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive relief in court to prevent infringement of intellectual property rights, misuse of confidential information, or other irreparable harm. Additionally, disputes related to payment card fraud may be resolved through chargeback processes.

11.4 Class Action Waiver

YOU AND EES-WI.ORG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT ON BEHALF OF OR AS PART OF ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION AGAINST EES-WI.ORG.

12. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of Wisconsin, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction of the arbitration process as described in Section 11. In the event that arbitration is not permitted by law, you consent to the exclusive jurisdiction of the courts located in Wisconsin.

 

13. Third-Party Links and Services

Our Service may contain links to third-party websites and services that are not operated by us. We are not responsible for the content, accuracy, or practices of third-party websites. Your access to and use of third-party websites is at your own risk and subject to their terms and conditions. We are not liable for any harm, loss, or damage resulting from your use of third-party services.

 

14. Indemnification

You agree to indemnify, defend, and hold harmless ees-wi.org and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service

  • Your violation of these Terms

  • Your User Content or infringement of intellectual property rights

  • Your violation of any law or rights of third parties

 

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

 

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you enter into with us, constitute the entire agreement between you and ees-wi.org regarding the Service and supersede all prior negotiations, understandings, and agreements, whether written or oral. No waiver of any provision of these Terms shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.
